EVENT PARTICIPATION TERMS, ASSUMPTION OF RISK,
WAIVER AND RELEASE OF LIABILITY
PLEASE READ THIS DOCUMENT CAREFULLY.
THIS DOCUMENT CONTAINS A RELEASE OF LIABILITY, WAIVER OF CERTAIN LEGAL RIGHTS, ASSUMPTION OF RISK PROVISIONS, LIMITATIONS OF LIABILITY, AND OTHER IMPORTANT TERMS.
By purchasing a ticket for, registering for, attending, participating in, entering, or otherwise accessing any Orin event, activation, pop-up, gathering, workshop, immersive experience, installation, collaboration, community event, wellness experience, private function, or related activity (collectively, the “Event”), you acknowledge and agree to be legally bound by the terms set out below.
If you do not agree to these terms, do not attend or participate in the Event. 1. APPLICATION OF THESE TERMS
These terms apply to all attendees, guests, participants, collaborators, vendors, artists, facilitators, performers, invitees, volunteers, and any other persons attending or participating in the Event (collectively, “Participants”).
These terms apply regardless of whether admission is paid, complimentary, invitation-based, sponsored, or otherwise.
Orin reserves the right to amend or update these terms from time to time without notice. The version in effect at the time of attendance shall apply.
2. NATURE OF EVENT AND ACKNOWLEDGMENT OF ENVIRONMENT
Participants acknowledge that Orin events are intentionally immersive, sensory, atmospheric, and experiential in nature.
Participants further acknowledge that Event environments may include, without limitation:
• incense and incense smoke;
• fragrance oils and scented products;
• essential oils and aromatic substances;
• candles and open flame;
• smoke, vapour, airborne particles, or scent diffusion;
• low lighting or altered lighting conditions;
• amplified music or sound;
• temporary installations or décor;
• close physical proximity to other attendees;
• crowded spaces;
• visual, emotional, or sensory stimulation;
• movement through unfamiliar spaces;
• wellness or meditative experiences;
• food or beverage service;
• third-party products, vendors, or activations.
Participants understand that exposure to such conditions may affect individuals differently and may create heightened risks for certain individuals.
3. ASSUMPTION OF RISK
Participation in the Event is voluntary and undertaken entirely at the Participant’s own risk.
Participants acknowledge and accept that attendance or participation may involve inherent risks, hazards, and dangers, whether known or unknown, foreseeable or unforeseeable, including but not limited to:
• allergic reactions;
• respiratory irritation or distress;
• asthma-related symptoms;
• headaches, dizziness, nausea, or sensory discomfort;
• skin irritation or sensitivities;
• burns or fire-related incidents;
• slips, trips, falls, or physical injury;
• injury caused by acts or omissions of third parties;
• crowd-related incidents;
• emotional distress;
• illness or medical complications;
• theft, loss, or damage to personal property;
• serious bodily injury; and
• death.
Participants voluntarily assume all such risks and accept full personal responsibility for any injury, damage, loss, cost, or expense arising from attendance or participation.
Without limiting the foregoing, Participants with asthma, allergies, respiratory conditions, fragrance sensitivities, epilepsy, pregnancy-related concerns, anxiety conditions, cardiac conditions, compromised immune systems, or other medical concerns are specifically encouraged to carefully assess whether participation is appropriate.
Participants acknowledge that Orin has advised them to exercise reasonable judgment regarding their participation.
4. RELEASE AND WAIVER OF LIABILITY
In consideration for being permitted to attend or participate in the Event, each Participant, on behalf of themselves and their heirs, executors, administrators, assigns, insurers, personal representatives, next of kin, and legal representatives, hereby releases, waives, discharges, and forever holds harmless Orin and its respective owners, officers, directors, shareholders, employees, contractors, agents, representatives, volunteers, affiliates, successors, assigns, event partners, sponsors, venues, landlords, collaborators, facilitators, vendors, artists, service providers, and related parties (collectively, the “Released Parties”) from any and all claims, demands, damages, losses, liabilities, actions, causes of action, costs, expenses, or proceedings of any kind whatsoever, whether in law or equity, known or unknown, suspected or unsuspected, arising directly or indirectly from or relating to:
• attendance at or participation in the Event;
• exposure to incense, smoke, fragrance, essential oils, candles, airborne particles, or related substances;
• consumption or use of products;
• acts, omissions, or conduct of third parties;
• conditions of the venue or surrounding premises;
• crowd conditions;
• event operations;
• negligent acts or omissions of the Released Parties;
• personal injury;
• illness;
• allergic reactions;
• emotional distress;
• property damage;
• economic loss;
• reputational harm; or
• death.
This release includes claims grounded in negligence and shall apply to the fullest extent permitted by applicable law.
5. LIMITATION OF LIABILITY
To the fullest extent permitted by law, the Released Parties shall not be liable for any indirect, incidental, special, aggravated, punitive, exemplary, or consequential damages arising out of or relating to the Event.
Where liability cannot legally be excluded, the aggregate liability of the Released Parties shall not exceed the amount, if any, actually paid by the Participant for admission to the applicable Event.
6. MEDICAL RESPONSIBILITY
Participants acknowledge and agree that:
• Orin does not provide medical services or medical supervision;
• Orin does not provide healthcare advice, diagnosis, treatment, or therapy; • no representation is made regarding medical, therapeutic, emotional, psychological, spiritual, or wellness outcomes;
• Participants remain solely responsible for monitoring their own health and wellbeing.
Participants agree to immediately discontinue participation and seek appropriate assistance if they experience discomfort, irritation, dizziness, respiratory symptoms, allergic reactions, anxiety, distress, or any other adverse effects.
Participants further acknowledge that emergency medical services may not be immediately available onsite.
7. PRODUCTS, SCENTS, AND FRAGRANCE EXPOSURE
Participants acknowledge that products used, displayed, sold, diffused, burned, sampled, or otherwise present at the Event may contain:
• fragrance oils;
• essential oils;
• resins;
• woods;
• herbs;
• botanicals;
• smoke-producing materials;
• naturally occurring allergens; and
• other aromatic compounds.
Orin makes no guarantees regarding individual tolerance, compatibility, allergic response, or sensitivity.
Participants assume all risks associated with exposure to such products and substances. 8. THIRD-PARTY VENDORS, COLLABORATORS, AND SERVICES The Event may include participation by independent third parties including, without limitation:
• artists;
• DJs;
• performers;
• facilitators;
• vendors;
• wellness practitioners;
• food or beverage providers;
• sponsors; and
• independent brands.
Orin does not control and is not responsible for the conduct, statements, products, services, omissions, negligence, or actions of any third party.
Any interaction, purchase, participation, or reliance involving third parties is undertaken entirely at the Participant’s own risk.
9. EVENT RULES AND REMOVAL RIGHTS
Participants agree to comply with:
• all venue rules;
• applicable laws;
• posted signage;
• fire safety protocols;
• staff instructions; and
• reasonable behavioural expectations.
Orin reserves the absolute right, in its sole discretion, to deny entry to, refuse service to, or remove any person for reasons including but not limited to:
• unsafe behaviour;
• intoxication;
• harassment;
• violence;
• disruptive conduct;
• unauthorized recording;
• damage to property;
• unlawful activity; or
• conduct inconsistent with the intended atmosphere of the Event.
Removal may occur without refund or compensation.
10. FIRE SAFETY AND OPEN FLAME
Participants acknowledge that incense, candles, burners, and open flame elements may be present at certain Events.
Participants agree:
• not to tamper with or improperly handle such materials;
• not to interfere with safety measures;
• to exercise reasonable caution at all times; and
• to immediately report any safety concern to Event staff.
11. PERSONAL PROPERTY
Participants are solely responsible for their own personal belongings.
The Released Parties shall not be responsible for lost, stolen, or damaged personal property, regardless of cause.
12. PHOTOGRAPHY, VIDEO, AND MEDIA RELEASE
Participants acknowledge that photographs, video recordings, livestreams, interviews, audio recordings, and other media content may be captured during the Event.
By attending the Event, Participants irrevocably grant Orin and its affiliates the unrestricted right to photograph, record, reproduce, publish, edit, distribute, display, exploit, and otherwise use their image, likeness, appearance, voice, statements, and related content for promotional, advertising, commercial, social media, editorial, archival, and marketing purposes worldwide, in perpetuity, and without compensation or further approval.
Participants waive any right to inspect or approve the final use of such materials. 13. INTOXICATION AND SUBSTANCE USE
Participants acknowledge that alcohol may be present or served at certain Events. Participants are solely responsible for their own conduct and consumption decisions.
Orin assumes no responsibility for injuries, damages, losses, or incidents arising from intoxication, impairment, or substance use by any Participant or third party.
14. MINORS
Unless otherwise expressly permitted in writing by Orin, Events are intended for individuals 18 years of age or older.
Where minors are permitted, attendance must be supervised by a parent or legal guardian, who agrees to these terms on behalf of the minor.
15. INTELLECTUAL PROPERTY
All Orin branding, trademarks, trade dress, event concepts, visual materials, written content, photographs, graphics, logos, designs, packaging, and related intellectual property remain the exclusive property of Orin or its licensors.
No reproduction, recording for commercial purposes, distribution, or unauthorized use is permitted without prior written consent.
16. ONLINE ACCEPTANCE
Where these terms are accepted electronically, including through Eventbrite, ticketing platforms, website checkboxes, digital registration systems, QR codes, or similar mechanisms, electronic acceptance shall constitute legally binding agreement equivalent to a physical signature.
17. GOVERNING LAW AND JURISDICTION
These terms shall be governed by and interpreted in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
Any dispute arising from or relating to the Event or these terms shall be brought exclusively before the courts of Ontario.
18. SEVERABILITY
If any provision of these terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall remain in full force and effect.
19. ACKNOWLEDGMENT
BY ATTENDING OR PARTICIPATING IN THE EVENT, THE PARTICIPANT ACKNOWLEDGES THAT THEY:
• HAVE READ AND UNDERSTOOD THESE TERMS;
• UNDERSTAND THAT THEY ARE WAIVING CERTAIN LEGAL RIGHTS; • VOLUNTARILY ASSUME THE RISKS ASSOCIATED WITH PARTICIPATION; AND
• AGREE TO BE LEGALLY BOUND BY THESE TERMS.
